Terms of Service

Effective Date: May 5, 2026

This Terms of Service and End User License Agreement (“Agreement”) is entered into by and between you (“User,” “you,” or “your”) and Braxton Hartmann, doing business as SmartBelt Calculator (“Company,” “we,” “us,” or “our”) and governs your access to and use of the SmartBelt Calculator software, including all features, functionality, and services made available through the application (collectively, the “Software”).

1. Acceptance of Agreement
By accessing or using the Software, you acknowledge that you have read, understood, and agree to be bound by this Agreement. If you do not agree to these terms, you must not access or use the Software.

2. License Grant and Restrictions
Subject to your compliance with this Agreement, Company grants you a limited, non-exclusive, non-transferable, non-sublicensable, and revocable license to access and use the Software solely for your internal business purposes.

You shall not, directly or indirectly: (a) copy, reproduce, modify, or create derivative works of the Software; (b) reverse engineer, decompile, disassemble, or otherwise attempt to derive the source code; (c) sell, sublicense, lease, distribute, or otherwise make the Software available to third parties; or (d) share access credentials with any person or entity outside your organization.

3. Nature of the Software
The Software is provided solely as a tool to assist with calculations and internal business presentation. The Software does not provide financial, legal, accounting, or business advice. No information or output generated by the Software shall be construed as professional advice or relied upon as such. Company does not guarantee any specific financial, business, or customer outcomes resulting from use of the Software.

4. User Responsibilities and Acknowledgment
You acknowledge and agree that you are solely responsible for all data, inputs, and information entered into the Software and for verifying the accuracy of all outputs prior to any use, reliance, or communication to third parties.

You further agree that all calculations, projections, and outputs generated by the Software must be independently reviewed and validated prior to use in any business transaction, customer communication, or contractual agreement.

All pricing decisions, financial determinations, and customer agreements remain solely your responsibility.

5. Disclaimer of Warranties
THE SOFTWARE IS PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS, WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, COMPANY DISCLAIMS ALL WARRANTIES, INCLUDING, WITHOUT LIMITATION, IMPLIED WARRANTIES OF MERCHANTABILITY, TITLE, AND NON-INFRINGEMENT.

COMPANY DOES NOT WARRANT THAT THE SOFTWARE WILL BE ERROR-FREE, ACCURATE, RELIABLE, UNINTERRUPTED, OR THAT DEFECTS WILL BE CORRECTED. THE SOFTWARE MAY BE IN ACTIVE DEVELOPMENT AND MAY CONTAIN BUGS, ERRORS, OR INCOMPLETE FEATURES.

6. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL COMPANY OR ITS AFFILIATES, OWNERS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, LOSS OF REVENUE, LOSS OF BUSINESS, OR CUSTOMER DISPUTES, ARISING OUT OF OR RELATED TO YOUR USE OF THE SOFTWARE.

IN NO EVENT SHALL COMPANY’S TOTAL LIABILITY EXCEED THE AMOUNT PAID BY YOU, IF ANY, FOR USE OF THE SOFTWARE IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

7. Indemnification
ß You agree to indemnify, defend, and hold harmless Company and its affiliates, officers, directors, employees, and agents from and against any and all claims, liabilities, damages, losses, and expenses, including reasonable attorneys’ fees, arising out of or related to: (a) your use or misuse of the Software; (b) your violation of this Agreement; or (c) any decisions, representations, or agreements made by you using outputs generated by the Software.

8. Data Responsibility
You acknowledge that you are solely responsible for all data entered into the Software. Company is not responsible for any loss of data.

9. Modifications to Software and Terms
Company reserves the right, at any time and in its sole discretion, to modify, update, or discontinue the Software or any portion thereof, as well as to modify this Agreement. Continued use of the Software after any such changes constitutes acceptance of the revised terms.

10. Termination
Company may suspend or terminate your access to the Software at any time, with or without notice, for any reason, including violation of this Agreement including, without limitation, suspected misuse, abuse, or excessive usage of the Software.

11. Governing Law
This Agreement shall be governed by and construed in accordance with the laws of the State of Utah, without regard to its conflict of laws principles. Any disputes shall be resolved in courts located in Davis County, Utah.

Subscription Terms

Effective Date: May 5, 2026

These Subscription Terms (“Subscription Terms”) govern your purchase and use of paid features within the SmartBelt Calculator Software.

1. Subscription Plans
The Software offers both free and paid subscription tiers. Access to certain features is limited based on the selected plan.

2. Billing and Payment Authorization
By purchasing a subscription, you authorize Company or its third-party payment processor to charge your designated payment method on a recurring basis in accordance with your selected billing cycle.

All payments are due in advance and are non-refundable except where required by applicable law.

3. Automatic Renewal
Subscriptions automatically renew at the end of each billing period unless canceled prior to the renewal date. You authorize recurring charges until cancellation.

4. Cancellation
You may cancel your subscription at any time. Upon cancellation, your access to paid features will continue until the end of the current billing period. No refunds or credits will be provided for partial billing periods.

5. Failed Payments
If a payment is declined or fails, Company may suspend or restrict access to paid features until payment is successfully processed.

6. Changes to Pricing and Features
Company reserves the right to modify subscription pricing, features, or plan structure at any time. Reasonable notice will be provided when practicable.

7. Downgrades and Data Access
Downgrading or canceling a subscription may result in loss of access to certain features, stored data, or outputs. Company shall not be liable for any such loss.

8. Account Responsibility
You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.

Privacy Policy

This Privacy Policy describes how Braxton Hartmann, doing business as SmartBelt Calculator (“Company”) collects, uses, and protects information in connection with the SmartBelt Calculator Software.

1. Information Collected
Company may collect personal and non-personal information, including but not limited to account information (such as name and email address), usage data, inputs entered into the Software, and payment-related information processed by third-party providers.

2. Use of Information

5. User Responsibility
You are responsible for the accuracy and appropriateness of the data you input into the Software. You should not input sensitive personal information unless necessary.

Company retains information for as long as necessary to provide the Software and fulfill legal obligations.

7. User Rights
You may request access to or deletion of your personal information, subject to legal and operational requirements.

8. Changes to Privacy Policy
Company reserves the right to update this Privacy Policy at any time. Continued use of the Software constitutes acceptance of any revised policy.
